Terms of Service

1. Introduction

Welcome to RwandaPay ("Company", "we", "our", "us"). These Terms of Service ("Terms", "Terms of Service") govern your use of our website, payment gateway services, APIs, and any related services (collectively, the "Services") provided by RwandaPay Ltd.

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Services. These Terms apply to all visitors, users, merchants, and others who access or use our Services.

RwandaPay Ltd is a licensed payment service provider regulated by the National Bank of Rwanda (BNR) and registered with the Rwanda Development Board (RDB).

2. Definitions

• "Merchant" refers to any business or individual that registers to use our payment processing services.
• "Customer" refers to any individual making a payment through our platform.
• "Payment" refers to any transaction processed through our gateway, including MTN MoMo and Airtel Money payments.
• "Account" refers to the merchant account created upon registration.
• "API" refers to our Application Programming Interface.
• "Sandbox" refers to our testing environment for integration.
• "Live Mode" refers to the production environment for processing real payments.

3. Account Registration

To use our Services, you must register for a merchant account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your API keys and login credentials secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Payment Services

RwandaPay provides payment processing services for mobile money transactions. Our Services include:

• Hosted Checkout: Secure payment pages that automatically redirect customers.
• Direct API Integration: USSD-based payment collection on customer phones.
• Payment Links: Shareable URLs for collecting payments.
• QR Code Payments: Contactless payment acceptance.
• Webhook Notifications: Real-time payment status updates.

We process payments through licensed mobile money operators including MTN Rwanda and Airtel Rwanda. Funds are held in designated merchant wallets and settled according to our settlement schedule.

5. Fees & Pricing

Our fees are transparent and subject to change with 30 days' notice. Current fees include:

• Collection Fee: 3.5% per successful transaction
• Payout Fee: 4% per withdrawal
• Setup Fee: Free (no setup charges)
• Monthly Fee: No monthly maintenance fees

All fees are deducted automatically from the transaction amount before settlement. You are responsible for any applicable taxes, including VAT as required by Rwandan law.

6. Merchant Obligations

As a merchant using our Services, you agree to:

• Comply with all applicable laws and regulations in Rwanda.
• Provide clear descriptions of goods or services to customers.
• Process refunds promptly in accordance with your own policy.
• Maintain appropriate security measures for your systems.
• Not use our Services for illegal activities or prohibited businesses.
• Cooperate with any fraud or dispute investigations.
• Maintain accurate records of all transactions.

7. Prohibited Activities

The following activities are strictly prohibited on our platform:

• Fraudulent or deceptive transactions.
• Money laundering or terrorist financing.
• Gambling, casinos, or betting operations (unless licensed).
• Adult content or services.
• Sale of illegal drugs or controlled substances.
• Pyramid schemes or multi-level marketing.
• Any activity violating Rwandan law or BNR regulations.

Violation may result in immediate account termination and reporting to relevant authorities.

8. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, and software, are owned by RwandaPay Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, reproduce, distribute, or create derivative works of our intellectual property without our express written consent. Our name, logo, and related marks are trademarks of RwandaPay Ltd.

9. Limitation of Liability

To the maximum extent permitted by law, RwandaPay Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our Services.
• Any conduct or content of any third party on our Services.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any interruption or cessation of transmission to or from our Services.

Our total liability shall not exceed the total fees paid by you to us in the three months preceding the claim.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use our Services will immediately cease. Any outstanding payments owed to you will be settled within 30 days after deducting any applicable fees or penalties.

You may terminate your account at any time by contacting our support team. Termination will not affect any rights or obligations accrued prior to termination.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kigali, Rwanda.

For disputes involving amounts under 5,000,000 RWF, parties agree to first attempt resolution through binding arbitration conducted in Kigali.
